THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, INCLUDING A DISCLAIMER THAT PRAESCO DOES NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE AND IS NOT A REGISTERED INVESTMENT ADVISER; A LIMITATION OF LIABILITY; AND AN AGREEMENT TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS (SECTION 18), WHICH YOU MAY OPT OUT OF WITHIN 30 DAYS.
Welcome to Praesco. These Terms of Service ("Terms") are a binding agreement between you and Praesco, Inc., a Delaware corporation ("Praesco," "we," "us," or "our"), and govern your access to and use of the Praesco web application located at praesco.io, together with related websites, features, and services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.
2.1 What Praesco does. Praesco is an informational and educational personal-finance tool. With your permission, Praesco connects on a read-only basis to financial accounts you choose to link and presents you with organized information and a ranked, dollar-quantified list of suggested "money moves," general ideas you might consider, such as moving idle cash toward a higher-yield savings option, paying down a particular balance, or reviewing a recurring charge.
2.2 Suggestions only; Praesco never acts on your accounts. Praesco only provides information and suggestions. Praesco does not, and cannot, move, transfer, invest, trade, withdraw, or otherwise transact in any of your funds or accounts, and it does not execute or implement any suggestion. You are solely responsible for deciding whether to act on any information or suggestion, and for taking any action yourself with your financial institution or advisers.
2.3 Not investment, financial, tax, or legal advice; not a fiduciary. The Service, and all content, rankings, figures, and suggestions provided through it, are for general informational and educational purposes only and do not constitute, and should not be relied upon as, investment advice, financial-planning advice, tax advice, accounting advice, legal advice, or a recommendation, offer, or solicitation to buy, sell, or hold any security or to adopt any investment strategy. Praesco does not provide advice about securities, does not recommend specific securities, and its suggestions are directed at general cash-management, savings, and debt matters. Praesco is not your fiduciary, broker-dealer, bank, insurance company, tax preparer, law firm, or financial adviser.
2.4 Not a registered investment adviser. Praesco is not registered as an investment adviser under the Investment Advisers Act of 1940 or under the laws of any state, and is not required to be so registered, because it does not provide personalized advice as to the value of securities or the advisability of investing in, purchasing, or selling securities. Nothing in the Service is intended to be, and nothing should be construed as, personalized investment advice.
2.5 Consult your own professionals. The Service is not a substitute for professional advice. You should consult a qualified financial adviser, tax professional, or attorney before making any financial decision. Investing and other financial decisions involve risk, including possible loss of principal; past performance does not guarantee future results.
2.6 No conflicts. Praesco is supported solely by subscription fees. Praesco does not sell advertising, does not sell your personal or financial information, and does not receive commissions, referral fees, or any compensation tied to whether or how you act on any suggestion.
You must be an individual at least 18 years old, reside in the United States, and use the Service for your own personal, non-commercial purposes. By using the Service you represent and warrant that you meet these requirements and that you have not been previously suspended or removed from the Service. The Service is not directed to persons under 18, and we do not knowingly collect information from them.
4.1 Registration. You agree to provide accurate, current, and complete information and to keep it updated. We may refuse, suspend, or terminate accounts in our reasonable discretion.
4.2 Credentials. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@praesco.io of any unauthorized use or suspected breach. Praesco is not liable for losses arising from unauthorized use of your account that results from your failure to safeguard your credentials.
5.1 Read-only access via Plaid. To use core features, you may connect financial accounts through our third-party data aggregator, Plaid Inc. ("Plaid"), or other aggregators we may offer in the future. When you connect an account, you authorize Praesco and Plaid to access and retrieve, on a read-only basis, account information such as balances, transactions, and holdings from the financial institutions you select. Praesco does not receive or store your financial institution login credentials; those are handled by Plaid.
5.2 Your relationship with Plaid and your institutions. Your use of Plaid is governed by Plaid’s own end-user privacy policy and terms, and your use of any financial institution’s account is governed by that institution’s agreements. By connecting an account, you agree to Plaid’s applicable terms and privacy policy. You may disconnect accounts at any time within the Service, and you may manage or delete data held by Plaid through Plaid’s portal.
5.3 We act at your direction. When Praesco or Plaid accesses your account information, we do so at your request and with your authorization, and not on behalf of, or as agent for, any financial institution. Financial institutions are not responsible for, and do not endorse, the Service.
6.1 Third-party data. Account information displayed in the Service is obtained from third-party sources and may be incomplete, delayed, unavailable, or inaccurate. Praesco does not control, verify, and is not responsible for the accuracy, completeness, or timeliness of information provided by financial institutions or aggregators. If you believe any account information is inaccurate or outdated, contact the applicable financial institution.
6.2 Suggestions depend on data quality. Praesco’s suggestions, rankings, and dollar estimates are generated from the information available to it, including third-party data and any information you enter manually. They are estimates and illustrations, not guarantees, and their usefulness depends on the accuracy and completeness of the underlying data. Actual results (including any savings or benefit) may differ.
6.3 Manual entries. You are responsible for the accuracy of any information you enter manually. Praesco is not responsible for outcomes resulting from inaccurate or incomplete manual entries.
7.1 Subscription. The Service is offered on a subscription basis. Standard pricing is $192 per year (equivalent to $20 per month), or such other price as we may establish and disclose at the time of purchase . Applicable taxes may be added.
7.2 Founding-member price lock. The first 100 members who subscribe as "Founding Members" lock a price of $99 per year, guaranteed for three (3) years from their initial Founding-Member subscription date, notwithstanding any general price changes during that period. After the three-year lock expires, the then-current standard price will apply upon renewal, following any notice required by law.
7.3 Free trial (card required). We may offer a free trial that requires a valid payment method at sign-up. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable fee. For any trial or introductory period longer than 31 days that converts to a paid subscription, we will provide advance notice as required by applicable law before the conversion.
7.4 Automatic renewal and affirmative consent. SUBSCRIPTIONS AUTOMATICALLY RENEW. By subscribing, you provide your express affirmative consent to automatic renewal: at the end of each subscription period, your subscription will automatically renew for a successive period of the same length, and your payment method will be charged the then-current price (plus taxes), unless you cancel before the renewal date. We will present the auto-renewal terms clearly and conspicuously before you purchase, obtain your separate consent to those terms, and send you an acknowledgment and the reminders and price-change notices required by applicable law, including California’s Automatic Renewal Law.
7.5 Cancellation (click to cancel). You may cancel at any time through your account settings using our online cancellation feature, or by emailing support@praesco.io. Cancellation stops future renewal charges; it takes effect at the end of your then-current paid period, and you will retain access until then. You may cancel during a free trial to avoid being charged.
7.6 Price changes. We may change subscription prices on a going-forward basis. We will notify you in advance of any price increase applicable to your renewal and give you the opportunity to cancel before it takes effect. Continuing your subscription after the effective date constitutes acceptance of the new price. Founding-Member price-lock rights in Section 7.2 control during the lock period.
7.7 Refunds. Except as required by law or expressly stated here, subscription fees are non-refundable. As a courtesy, if you purchased directly from Praesco, you may request a full refund of your most recent charge within 30 days of that charge by emailing support@praesco.io; and if you cancel an annual subscription, we may, at our discretion, provide a prorated refund for the unused full months remaining. Purchases made through a third-party platform (for example, an app store) are subject to that platform’s refund policies.
7.8 Billing authorization. You authorize us and our payment processors to charge your payment method for all fees. If a charge fails, we may retry and may suspend the Service until payment is made.
You agree not to: (a) use the Service for any unlawful, fraudulent, or unauthorized purpose; (b) attempt to gain unauthorized access to the Service or other users’ accounts or data; (c) reverse engineer, decompile, scrape, or probe the Service except as permitted by law; (d) introduce malware or interfere with the Service’s operation or security; (e) use the Service to build or train any competing product or any artificial intelligence or machine-learning model; (f) resell, sublicense, or use the Service on behalf of any third party; or (g) misrepresent your identity or provide false information.
The Service and all associated content, software, rankings, methodologies, text, graphics, and trademarks are owned by Praesco or its licensors and are protected by intellectual-property laws. Subject to these Terms, Praesco grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. All rights not expressly granted are reserved.
You retain ownership of information you submit ("User Content"). You grant Praesco a worldwide, non-exclusive, royalty-free license to host, process, and use your User Content solely to operate, secure, and provide the Service to you, consistent with the Privacy Policy. Praesco will not use your personal financial data to train a shared model used for other customers. If you provide feedback or suggestions, you grant Praesco an unrestricted, royalty-free right to use them without obligation to you.
Your use of the Service is subject to our Privacy Policy at praesco.io/privacy, which describes how we collect, use, and protect information and your choices and rights. By using the Service, you acknowledge the Privacy Policy.
The Service may link to or interoperate with third-party services (including Plaid and financial institutions). Praesco does not control and is not responsible for third-party services, their content, or their practices, and your use of them is at your own risk and subject to their terms.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY. PRAESCO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA WILL BE ACCURATE OR COMPLETE, OR THAT ANY SUGGESTION WILL RESULT IN ANY PARTICULAR FINANCIAL OUTCOME OR SAVINGS. YOU USE THE SERVICE AND RELY ON ANY INFORMATION AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, PRAESCO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FINANCIAL LOSSES ARISING FROM DECISIONS YOU MAKE BASED ON THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. PRAESCO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT OF SUBSCRIPTION FEES YOU PAID TO PRAESCO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Praesco and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Service, your violation of these Terms or applicable law, or your infringement of any third-party right.
These Terms apply while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time for any violation of these Terms or as otherwise reasonably necessary. Upon termination, your license ends; provisions that by their nature should survive (including Sections 2, 6, 9, 10, 13, 14, 15, 17, 18, and 19) will survive.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and, where applicable, by the Federal Arbitration Act. Subject to Section 18, the exclusive venue for any dispute not subject to arbitration is the state and federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.
18.1 Informal resolution. Before filing a claim, you agree to contact us at support@praesco.io and attempt to resolve the dispute informally for at least 30 days.
18.2 Binding individual arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs. Arbitration is on an individual basis; the arbitrator may not preside over any class or representative proceeding.
18.3 Class-action and jury waiver. YOU AND PRAESCO WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
18.4 Carve-outs. Either party may bring an individual claim in small-claims court and may seek injunctive or equitable relief for intellectual-property or unauthorized-use matters in court.
18.5 30-day opt-out. You may opt out of this Section 18 by emailing support@praesco.io within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out will not affect any other provision.
18.6 Fees. Praesco will pay arbitration filing fees for claims under $10,000 except where a claim is frivolous.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Service.
These Terms and the Privacy Policy are the entire agreement between you and Praesco regarding the Service and supersede prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing creates a partnership, agency, or employment relationship. Notices to you may be given by email or in-app; notices to Praesco must be sent to 400 West Swedesford Road, Apt 463, Berwyn, PA 19312. Headings are for convenience only.
